Article 1 (Purpose)
These Terms and Conditions aim to define the rights, obligations, and responsibilities between the Company, SOOP Co., Ltd. (hereinafter “the Company”), and users in relation to the use of electronic commerce services (hereinafter “the Services”) provided through the SOOP OGQ Emoji online store (hereinafter “the Emoji Store”), which is operated by the Company.
Article 2 (Definitions)
① “Emoji Store” refers to the virtual business place (https://ogqmarket.sooplive.com) established by the Company using computers and other information and communication devices to allow users to purchase and access digital content (hereinafter “Content”). The term may also be used to refer to the business entity operating the online Emoji Store.
② “User” refers to a member who accesses the Emoji Store and receives services provided by the Emoji Store under these Terms and Conditions.
③ “Member” refers to an individual who has registered for SOOP services and is eligible to use the services provided by the Emoji Store.
Article 3 (Posting, Explanation, and Amendment of Terms)
① The Emoji Store shall display these Terms and Conditions, including the Company name, representative’s name, business address (including addresses for customer complaint handling), phone number, fax number, e-mail address, business registration number, e-commerce license number, and personal information protection officer, on its initial service screen. However, the content of the Terms may be displayed through linked screens.
② Before a user agrees to these Terms, the Emoji Store shall provide a separate linked page or pop-up screen to clearly explain important matters such as withdrawal of purchase and refund conditions, and obtain the user’s confirmation.
③ The Emoji Store may amend these Terms to the extent they do not violate applicable laws, including the Act on Consumer Protection in Electronic Commerce, the Telecommunications Business Act, the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Electronic Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Personal Information Protection Act, and the Consumer Basic Act.
④ When amending these Terms, the Emoji Store shall specify the effective date and reason for amendment and post the amended Terms on its initial screen for at least seven (7) days before the effective date. If the amendment is disadvantageous to users, the posting period shall be at least thirty (30) days. In such cases, the Emoji Store shall clearly compare the previous and revised provisions.
⑤ Amended Terms apply only to contracts made after the effective date. Contracts made before the amendment shall follow the previous Terms, unless the user explicitly agrees to the amended Terms during the notice period.
⑥ Matters not specified in these Terms or interpretations of these Terms shall follow applicable laws referenced in Paragraph ③ or established commercial practices.
Article 4 (Provision and Changes of Services)
① The Emoji Store performs the following tasks:
1. Providing information on digital content and facilitating purchase contracts
2. Providing electronic systems that allow use of purchased content
3. Other tasks determined by the Emoji Store
② If the Emoji Store needs to modify service details due to changes in technical specifications, it shall notify users through the notice board or direct communication.
③ If a user suffers damages due to such changes, the Emoji Store shall compensate the user unless it proves that the damage was not caused by intent or negligence.
Article 5 (Service Suspension)
① The Emoji Store may temporarily suspend services due to maintenance, replacement, malfunction of computer or communication equipment, or communication failures.
② If service suspension causes damage to users or third parties, the Emoji Store shall provide appropriate remedies and compensate monetary damages if proven, unless it proves that there was no intention or negligence.
③ If services cannot be provided due to reasons such as business transition, discontinuation, or mergers, the Emoji Store shall notify users under Article 8 and compensate customers based on previously stated conditions.
Article 6 (Membership Registration)
① Membership registration for the Emoji Store follows the SOOP membership registration process.
② Membership registration policies follow the SOOP Terms of Service.
Article 7 (Withdrawal and Loss of Membership)
Membership withdrawal follows SOOP’s membership policy. However, if withdrawal occurs while purchase or refund history exists in the Emoji Store, such information will be sent to the user via email prior to completion of withdrawal.
Article 8 (User Notifications)
① Notifications to members shall be sent to the email address registered in the SOOP service or another email mutually agreed upon.
② For notifications to an unspecified number of users, posting on the SOOP bulletin board for at least one week shall constitute valid notification. However, for matters that significantly affect a specific user’s transactions, individual notifications shall be provided.
Article 9 (Purchase Applications)
Users apply for purchases through the Emoji Store using the following method or a similar one, and the Emoji Store must clearly present the following to users:
1. Search and selection of content
2. Confirmation of Terms, including withdrawal restrictions
3. Indication of agreement or refusal to the Terms
4. Submission and confirmation of purchase application and consent to Emoji Store confirmation
5. Selection of payment method
Article 10 (Establishment of Contract)
① A purchase contract is deemed established when the Emoji Store acknowledges the purchase and the user completes payment.
② The Emoji Store’s acknowledgement includes confirmation of the purchase application, correction or cancellation details, and other related information.
Article 11 (Payment Methods)
Payment for purchased content may be made using the following available methods. The Emoji Store shall not impose any additional fees on payments.
1. Prepaid cards, debit cards, credit cards
2. Mobile carrier billing
3. Other electronic payment methods
Article 12 (Cancellation of Purchase Application)
Users may request immediate modification or cancellation of purchase applications in cases such as discrepancies in intent. The Emoji Store must promptly process the request if the content has not been used. If payment has already been made, matters follow Article 15 (Withdrawal of Purchase).
Article 13 (Content Delivery)
Unless otherwise agreed, the Emoji Store shall make purchased content immediately available for use upon the user’s request.
Article 14 (Payment Cancellation)
If the Emoji Store cannot provide purchased content due to discontinuation or other reasons, it shall notify the user promptly and cancel or refund payment within three (3) business days.
Article 15 (Withdrawal of Purchase)
Users may withdraw their purchase within seven (7) days of purchase. However, users must not have used the content. The Emoji Store shall process the withdrawal within three (3) business days following Article 14.
Article 16 (Obligations of the Emoji Store)
① The Emoji Store shall not engage in activities prohibited by law or public morals and shall strive to provide continuous and stable content.
② The Emoji Store shall establish appropriate security systems to protect user personal information, including credit information.
Article 17 (User Obligations)
Users shall not engage in the following actions:
1. Transmitting or posting information not permitted by the Emoji Store (e.g., computer programs)
2. Infringing intellectual property rights of the Emoji Store or third parties
3. Defaming or interfering with the operations of the Emoji Store or third parties
4. Posting obscene, violent, or otherwise unlawful content in violation of public morals
Article 18 (Liability Exemption)
① The Emoji Store is not liable for service failure due to force majeure, natural disasters, or causes beyond the Company’s reasonable control.
② The Emoji Store is not liable for service failure due to user fault.
③ The Emoji Store is not liable for expected profit losses or damages caused by using content obtained through services.
Article 19 (Information and Advertisements)
① The Emoji Store may provide various information to SOOP members by posting it on the service screen.
② Transactions or communication between users and advertisers are solely between those parties, and the Company bears no responsibility.
Article 20 (Dispute Resolution)
① The Emoji Store shall operate a customer service center to address legitimate complaints and opinions.
② Complaints shall be handled promptly. If processing is delayed, the Emoji Store shall notify the user of the delay and expected timeline.
③ For disputes related to electronic commerce, users may request mediation from the Korea Fair Trade Commission or local dispute mediation bodies.
Article 21 (Jurisdiction and Governing Law)
① Disputes between the Emoji Store and users shall be brought to the court with jurisdiction over the user’s address at the time of filing. If unclear or outside Korea, the competent court shall follow the Civil Procedure Act.
② Korean law shall govern disputes between users and the Emoji Store.
